Service Level Agreement (SLA) for Four Prime Short Link Services
This Agreement (“Agreement”) is entered into as of 2024/01/05, by and between LinkedIn, hereinafter referred to as the “Client,” and Four Prime, hereinafter referred to as the “Service Provider.”
1. Service Description:
Four Prime agrees to provide short link domain and services for shortening URLs in a corporate environment for the Client. This service includes the provision of a dedicated short link domain and the necessary infrastructure for URL shortening.
2. Service Term:
The term of this Agreement shall be one (1) year, commencing on [Start Date] and ending on [End Date]. The Agreement may be renewed by mutual written agreement of both parties.
3. Service Fee:
The Client agrees to pay a yearly service fee of $60,000 to Four Prime for the provision of short link domain and services. Payment shall be made in US Dollars.
4. Service Levels:
a. Availability:
Four Prime shall use commercially reasonable efforts to ensure a minimum of 99.9% availability of the short link services.
b. Support:
Four Prime will provide 24/7 technical support for any issues related to the short link services. Response time for issues deemed critical by Four Prime shall not exceed 1 hour. Non-critical issues shall not exceed 1 business day.
5. Responsibilities:
a. Client Responsibilities:
The Client is responsible for providing accurate information for shortening URLs.
The Client shall adhere to the terms of use and guidelines provided by Four Prime.
b. Service Provider Responsibilities:
Four Prime shall ensure the security and integrity of the short link services.
Regularly monitor and maintain the infrastructure to prevent disruptions.
6. Data Security and Privacy:
Four Prime agrees to take reasonable measures to protect the privacy and security of client data. Four Prime will not disclose client data to third parties without explicit consent from the client.
7. Termination:
Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement. In the event of termination, the Client shall pay any outstanding fees for services rendered.
8. Confidentiality:
Both parties agree to keep all confidential information received during the term of this Agreement confidential and not disclose it to any third party.
9. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the United States.
10. Miscellaneous:
Any modifications to this Agreement must be made in writing and signed by both parties.
